Terms & Conditions
Operated by GVNFIT
Effective Date: 05-October-2026
By enrolling in a CALIBRATE coaching program operated by GVNFIT (“GVNFIT,” “CALIBRATE,” “we,” “us,” or “the Coach”), you (“Client,” “you,” or “your”) acknowledge that you have read, understood, and agreed to these Terms & Conditions.
If you do not agree to these Terms & Conditions, you should not submit the intake form, enroll in the program, or make payment.
1. Nature of the Service
CALIBRATE is an online fitness and nutrition coaching service designed to provide structured guidance, accountability, exercise programming, nutrition guidance, progress tracking, and coaching support.
Depending on the coaching tier selected, services may include:
- Personalized exercise programming
- Nutrition and lifestyle guidance
- Progress assessment and tracking
- Scheduled coaching sessions
- Regular check-ins
- Program adjustments based on progress and feedback
- Access to the Vemisis app (the CALIBRATE training app) and/or web portal
- Coach communication and support as specified by the selected tier
All services included in the Client’s selected coaching tier will be clearly communicated at the time of enrollment.
Unless expressly agreed otherwise in writing, CALIBRATE coaching is provided online only.
In-person personal training is not included in CALIBRATE coaching tiers. Any in-person training arrangement will be separately agreed upon with the Coach and may be subject to separate fees and terms.
2. Coaching Tiers and Session Entitlement
Each CALIBRATE coaching tier includes a defined number of coaching sessions and a specific level of access, as communicated at the time of enrollment.
The Client is entitled only to the services and number of sessions included in the selected tier.
Monthly Session Cycle
A coaching cycle consists of the number of sessions specified in the Client’s selected plan.
For example, where a plan includes 12 sessions per cycle, the Client receives up to 12 scheduled coaching sessions during that cycle.
Unused sessions do not automatically carry forward into the next cycle, unless the Coach agrees otherwise in writing.
The Coach may, at their discretion, allow an exception in circumstances that are reasonable and mutually agreed upon.
3. Scheduling, Rescheduling and Cancellation Policy
Scheduled coaching sessions are reserved specifically for the Client. Once a session is confirmed, the Coach allocates that time exclusively to the Client.
3.1 Rescheduling Requirement
The Client must provide at least 16 hours’ notice to reschedule a scheduled coaching session.
A rescheduling request made at least 16 hours before the scheduled session may be moved to another mutually available time, subject to the Coach’s availability.
3.2 Late Cancellation or Rescheduling
If the Client:
- Cancels a session with less than 16 hours’ notice;
- Requests a reschedule with less than 16 hours’ notice;
- Fails to attend the scheduled session;
- Is unavailable at the scheduled time; or
- Does not provide reasonable notice of their inability to attend;
the session will generally be treated as a used/cancelled session and will count toward the Client’s session entitlement.
The Coach is not obligated to provide a replacement session for a late cancellation or no-show.
3.3 Mutual Cancellation
If the Client and Coach mutually agree to cancel or reschedule a session due to circumstances affecting either party, the session may be rescheduled without being counted as a cancelled session, provided that the arrangement is mutually confirmed.
3.4 Coach-Initiated Changes
If the Coach needs to cancel or reschedule a session, the Coach will provide reasonable notice wherever possible and will work with the Client to arrange another mutually suitable time.
A session cancelled by the Coach will not be deducted from the Client’s session entitlement.
3.5 Emergency Circumstances
The Coach may, at their reasonable discretion, make exceptions to the 16-hour cancellation policy for genuine emergencies or circumstances beyond the Client’s reasonable control.
Any such exception is discretionary and does not create an ongoing entitlement to waive the cancellation policy.
4. Payment Terms
All coaching fees are payable according to the Client’s selected coaching tier and billing cycle.
Payment Deadline
For each coaching cycle, the required payment must be completed on or before the Client’s 12th session of the current cycle, unless a different payment arrangement has been agreed upon in writing.
Where the selected coaching tier contains a different number of sessions, the applicable payment deadline will be communicated separately by the Coach.
The Client is responsible for ensuring that payment is completed by the applicable deadline.
Payment Status and Continued Coaching
If payment is not received by the applicable deadline, the Coach reserves the right to:
- Pause future coaching sessions;
- Suspend access to coaching services;
- Restrict access to the Vemisis app or web portal;
- Withhold further program updates or coaching support; and/or
- Require outstanding fees to be cleared before coaching services resume.
Continued participation in the program does not waive any outstanding payment obligation.
5. Free Trial
The CALIBRATE 30-day free trial is available only where a valid and unexpired promotional or coupon code is used.
The free trial:
- Is limited to one redemption per Client;
- Cannot be combined with another promotional offer unless expressly stated;
- Provides only the services specified under the applicable trial offer; and
- Automatically converts to the applicable paid coaching tier at the end of the trial period unless cancelled before the conversion date.
The Client is responsible for cancelling the trial before the conversion date if they do not wish to continue with the paid program.
6. Cancellation of Coaching
CALIBRATE coaching programmes have a minimum commitment of 3 months.
The Client may request cancellation of their coaching program at any time, subject to the 3-month minimum commitment, the applicable Refund Policy and any outstanding payment obligations.
Cancellation of the coaching program does not automatically cancel or waive fees that have already become due.
Once a coaching cycle has commenced, fees may be non-refundable depending on the applicable Refund Policy.
The Client should contact the Coach before the next billing cycle if they do not wish to continue.
7. Refund Policy
Payments are generally made for access to a defined coaching program and reserved coaching capacity.
Refund eligibility, if any, will be determined according to the applicable CALIBRATE Refund Policy communicated at the time of enrollment.
Unless otherwise stated in writing:
- Completed sessions are non-refundable.
- Sessions cancelled with less than 16 hours’ notice may be treated as used sessions and are non-refundable.
- No-shows may be treated as used sessions and are non-refundable.
- Unused sessions do not automatically create a right to a refund or credit.
- Promotional, discounted, or trial-related payments may be subject to separate refund conditions.
Any refund exception is at the Coach’s discretion unless otherwise required by applicable law.
8. Client Responsibilities
The Client agrees to:
